The meeting is supposed to endorse a proposal acquiring Janakpur Laghubitta with a swap ratio of 11:70. Similarly, the meeting will delegate authority to BOD to forward merger/acquire other suitable companies.
Swarojgar Laghubitta has a paid-up capital of Rs 341.6 million while Janakpur Laghubitta has Rs 34.7 million in paid-up capital. The joint entity will issue 100 percent right shares after the acquisition.
For the SGM, the company will close its book on July 20, thus, the shareholders registered in its book till July 19 will be eligible to attend the SGM.
